The Subscription Agreement is provided to the potential investor along with the Offering/Private Placement Memorandum, Business Plan (if used) and LLC operating agreement. The Subscription Agreement contains specific representations and warranties by the investor where the investor acknowledges all of the risks involved in the investment and is satisfied with the documentation and other material that had been provided. The form also contains a detailed questionnaire which must be filled out by the investor in order to determine whether the investor is accredited under Securities Laws (see section entitled “Securities Issues“).
